URA Explains Stamp Duty: 8 Facts Every Ugandan Should Know

From ensuring the validity of legal documents to understanding who is responsible for paying it, stamp duty plays a critical role in Uganda’s legal and financial system. It is important whether you are signing contracts, executing agreements, or seeking exemptions.

According to Uganda Revenue Authority (URA) Corporate Affairs Manager, Robert Kalumba, below are the eight key facts every Ugandan should know about stamp duty:

1. What Is Stamp Duty?

Stamp duty is a non-tax revenue charged on every instrument listed under Schedule 2 of the Stamps Duty Act, Cap. 339, that is executed or received in Uganda.

2. Which Instruments Attract Stamp Duty?

Stamp duty is chargeable on all instruments listed in Schedule 2 of the Act.

An instrument is defined as any document by which a right or liability is created, transferred, limited, extended, extinguished, or recorded.

3. Who Pays Stamp Duty?

Stamp duty is paid by the person drawing, making, or executing the instrument.

In this context, “executing” means signing.

4. Why Pay Stamp Duty?

Paying stamp duty ensures that legal documents and transactions are valid and admissible in courts of law.

5. Is Registration Required to Pay Stamp Duty?

No registration is required to pay stamp duty.

Anyone liable can pay it without prior registration.

6. Time Limit for Paying Stamp Duty

Stamp duty must be paid:

Within 45 days for instruments executed in Uganda

Within 30 days for instruments received in Uganda

This is provided for under Sections 13 and 14 of the Act.

7. Which Transactions Are Exempt from Stamp Duty?

Exemptions apply to:

Agreements executed by the Government

Public international organisations under Schedule 2 of the VAT Act and Income Tax Act

Instruments granted exemptions by the Minister of Finance

8. Does Non-Payment Make a Document Invalid?

Non-payment of stamp duty does not invalidate a document, but it cannot be admitted in commercial courts of law.

Is There a Minimum Threshold for Stamp Duty?

There is no minimum threshold for stamp duty. It applies to every instrument executed or received in Uganda, regardless of value.
